  1. 1A [blank_start]contract[blank_end] is an [blank_start]agreement[blank_end] that is [blank_start]binding[blank_end] and legally [blank_start]enforceable[blank_end].
A contract is formed/created/entered into when one party makes an [blank_start]offer[blank_end] which is then accepted by the other party.
    A counter-offer does not constitute [blank_start]acceptance[blank_end].
Under common law, for a contract to be properly formed and hence enforceable, legally sufficient [blank_start]consideration[blank_end] is also required. Often consideration is the purchase [blank_start]price[blank_end] but it need not be money. It can be something else of [blank_start]value[blank_end] that induces the agreement.

It should identify the contract's nature as much as possible (e.g. International Agency Agreement; Agreement for Services; Purchase Agreement; Purchase and Sale Agreement; Merge Agreement; Employment Agreement; Licensing Agreement; Nondisclosure Agreement).

Note that the term "[blank_start]agreement[blank_end]" is more common than "contract" although both terms are synonymous.

  4. 4INTRODUCTORY SECTION (Names and Addresses)

The contract's introductory statement, which comes directly after the heading, identifies the parties to the contract and their correct legal description (whether they are [blank_start]natural[blank_end] persons, partnerships, companies, etc.), as well as where they [blank_start]reside[blank_end] (for natural persons) or where their [blank_start]principal[blank_end] place of business is located (for corporate entities).

The words "between" (for two parties) or "among" (for more than two parties) describe the parties' contractual relationship.

The parties' names are usually shortened in the introductory statement by using defined terms, e.g. Saran Industries ("Saran") or Jack Black (the "Contractor"). Always ensure that defined terms are capitalized and used in a consistent manner throughout the text.
