About Partnership Law

GoConqr Original

What this unit covers

The resources follow the life of a partnership. They start with the definition in section 1 of the Partnership Act 1890: persons carrying on a business in common with a view of profit. They then move through creation, profit sharing, authority, liability, fiduciary duties and dissolution. Some decks also cover Indian and US-style partnership rules, so check which law a resource follows before you rely on it.

Where to start

Begin with the mind map What is a partnership. It breaks section 1(1) into its parts: persons, carrying on a business, and a view of profit. Then open the mind map Partnerships, which sets out what a partnership is and is not, including joint ownership and the sharing of gross returns. The notes titled Partnership. give a longer written account of formation, capacity, formalities and proof that a partnership exists.

Authority and liability

Next, read the mind maps Authority of a Partner and Liability of Partners. The first separates actual authority from apparent authority under section 5. The second covers sections 9, 10 and 11, including joint and several liability for wrongful acts in the ordinary course of business. Liability of Partners to Third Parties adds the detail on contracts.

Using quizzes with maps

Read a map first, then test yourself. The quizzes include Partnerships, Company Partnerships and Partner or Lender, which fits the question of when sharing profit does not make a partnership. Note which answers you missed, go back to the matching map branch and try again. Flashcards such as Section 24 - Partnership Act 1890 and Partnership Act 1890 help with the statute wording.

Where it sits

This unit belongs to the Business Organisations and Company Law strand of Commercial and company law. Teachers can use the maps as ready-made starting points for a seminar or revision handout. Choose a resource that suits you and build your own versions as you go.

Frequently asked questions

Which resource should I open first?

Start with the mind map What is a partnership. It sets out section 1(1) of the Partnership Act 1890 piece by piece: persons, carrying on a business, and a view of profit. After that, move on to the maps on authority and liability, then test yourself with a quiz.

What do the mind maps on this page cover?

They cover the definition of a partnership, its creation, profit sharing, the authority of a partner, liability to third parties, fiduciary duty of partners and dissolution. There is also a map on the Partnership Act 1890 and one on Partnership Law and Limited Liability Partnership.

Who are these resources for?

Most of the material is at university level, so university students are the main group. Teachers can also use the maps, decks and quizzes as ready-made material. Some resources follow other laws, such as the Indian Partnership Act, 1932, so check the jurisdiction.

What if I can't find the topic I need?

Look at the related titles first. Topics like dissolution, fiduciary duties and piercing the corporate veil each have their own resource. If something is still missing, you can make your own notes, flashcards or mind map and use the listed ones as a model.
